1. Definitions

1.1 “You” means a) any company identified during registration on the OFFICE7X24 Portal or Services and any company which will or has been incorporated using the Portal or Services or b) any individual linked to the OFFICE7X24 Portal or Services whether as shareholder, director, officer, employee or user of the Portal or Services.

1.2 “User” means any person using the OFFICE7X24 Portal or Services and the whether on his or her own behalf or on behalf of a third party.

2. Services

OFFICE7X24 is an online service provider using web applications to provide services for companies in Hong Kong.

2.1 User agrees that OFFICE7X24 has no liability to User for any loss or damage arising out of or in relation to OFFICE7X24 carrying out the services in all circumstance.

2.2 User shall indemnify OFFICE7X24 (and/or any of its affiliates) against any and all actions, judgements, claims, demands, costs, taxes and expenses (including legal and/or professional fees) howsoever incurred by OFFICE7X24 in the course of and pursuant to its duties and obligations in carrying out the company services in all circumstance.

3. Registration

3.1 In order to use the OFFICE7X24 Portal and Services, the User must provide some information and documents. The User undertakes and warrants to provide exact, exhaustive, sincere and correct information and documents.

3.2 In case of any change in the information provided upon registration the User undertakes to update this information without delay. OFFICE7X24 shall not in any way be held in case the User has not updated its information or has not notified OFFICE7X24 of any change of situation whatsoever.

3.3 A User registering on the Portal automatically accepts these Terms and has access to the Portal through the combination of a username and a password. The combination of username and password are strictly personal and should be kept confidential by the User.

3.4 OFFICE7X24 may at any time suspend or discontinue any feature or any part of the OFFICE7X24 Services, including the support for the use of the Portal. OFFICE7X24 Services may also be affected by acts of nature or force majeure events. OFFICE7X24 will make every effort to ensure that OFFICE7X24 Services are always available, however they may be interrupted, including for maintenance, repairs, upgrades or network or equipment failures.

4. Limitation on liability

4.1 To the fullest extent permitted by law, OFFICE7X24 and its affiliates, directors, officers, employees, agents, representatives, partners expressly limit their liabilities in connection with or arising out of the provision of the OFFICE7X24 Services and the use of the Portal.

4.2 The OFFICE7X24 Services and all content and documents generated by the Portal is provided on a “as is” basis. No assurance, representation or warranty of any kind is made whether express or implied about OFFICE7X24 Services. While OFFICE7X24 makes every effort to ensure the quality of the Services, it does not make any representation or warranty that:

• a) the information or content provided as part of the OFFICE7X24 Services will be entirely correct and up to date;

• b) the documents generated as part of the services will be accurate, adequate, reliable, free from defect or error or omissions, suitable for a particular purpose or legally sound;

• c) OFFICE7X24 Services are free from bugs or viruses;

• d) correspondence between a User and OFFICE7X24 will be free from interception, corruption, error, delay or loss;

• e) access to OFFICE7X24 Services will always be available or uninterrupted;

• f) use of OFFICE7X24 Services will achieve any particular result and meet your expectations.

OFFICE7X24 should not be liable for any indirect, special, incidental, punitive, exemplary or consequential losses or damages or any loss of profit, business or data arising out of the use of or the inability to use OFFICE7X24 Services. Any liability of OFFICE7X24 to any User is limited strictly to the amount paid by the User to OFFICE7X24 (if any) for the Services.

5. Indemnity

5.1 You agree to indemnify and hold OFFICE7X24 (and/or its affiliates, officers, directors and employees) harmless from and against all liabilities, damages, claims, costs (including legal fees and costs), and expenses in connection with or arising from (a) your breach of these Terms, (b) your use of OFFICE7X24 Services and/or (c) any misrepresentation made by you.

5.2 User represents, warrants and undertakes that it shall comply with all applicable laws and regulations when using any OFFICE7X24 Services.

5.3 User shall indemnify OFFICE7X24 (and/or any of its affiliates officers, directors and employees) against any and all loss, damage, actions, judgements, claims, demands, costs, taxes and expenses (including legal and/or professional fees) howsoever incurred by OFFICE7X24 arising from User’s breach of clause 5.2 above.

6. Termination of the services

6.1 Either party may terminate the Services by giving at least thirty (30) days’ written notice to the other party.

6.2 If either party terminates the Services before the Services expire, OFFICE7X24 shall refund the balance of the current annual services fees on a pro-rata basis in respect of the unexpired period to which the annual services fees relates.

6.3 If you terminate the Services, your access to the OFFICE7X24 is restricted.

7. Variations of these terms

These Terms may be varied from time to time. By continuing to use the OFFICE7X24 Portal and Services, User agrees to be bound by the then current terms.

8. Governing law

These Terms and all issues regarding the OFFICE7X24 Portal and are governed by Hong Kong law and shall be subject to the exclusive jurisdiction of Hong Kong courts.
